Vietnam land law vs US/UK/Australia: key differences for foreigners

Compare legal requirements and procedures across 14 topics, with Vietnamese statutory references and official sources. This helps users prepare the relevant documents; it does not rank legal systems.

For reference, not investment advice or a substitute for legal advice. Sources checked: 30 October 2026. Foreign rules may vary by state, city and transaction date.

Three differences to check before a transaction

Vietnam distinguishes land use rights from home ownership. A freehold or leasehold label from another country does not establish what a foreign buyer may own in Vietnam.

Home businesses are possible in parts of the US, UK and Australia. Seattle, England and NSW provide examples below. In Vietnam, Article 218 permits specified combined uses; business registration does not replace the land, planning and building checks.

Compare the tax base, not the headline rate: ordinary Vietnamese individual resale tax uses the statutory transfer price; US and UK gain-based rules have their own deductions and reliefs. State and local rules still matter.

In VietnamLand belongs to the entire people, with the State acting as the representative owner and exercising unified management. The State allocates or leases land and recognises land use rights under Article 12 of the 2024 Land Law. So do / so hong (red / pink book) are informal names for the certificate of land use rights and ownership of attached assets, rather than private ownership of land.

In VietnamResidential land has stable long-term use under Article 171(1). That does not give every foreign buyer an indefinite housing term. Foreign-category individuals generally have an agreed home ownership term of up to 50 years, with an extension subject to law.

In VietnamCombined use preserves the land category and the ability to resume its main purpose, protects neighbouring land and meets financial obligations. Article 218(4) requires a plan for commercial or service combinations. It covers the parcel, combined area and duration, works, restoration, safeguards and maps. Check the current local filing procedure. Residential land is exempt from the 50% combined-area limit; that exception does not waive the plan requirement.

When does commercial reclassification apply? At homeIn Seattle, check whether the activity fits home-occupation rules or needs another city approval.

In VietnamCombined use is distinct from conversion under Article 121. For example, changing non-commercial non-agricultural production or business land to commercial/service land requires permission under Article 121(1)(g); agricultural to non-agricultural land falls under point (b). A home business does not establish a universal conversion requirement or exemption.

Check the certificate and land-use plan; ask whether the proposal is combined use or conversion; verify building and fire requirements, the proposed activity and your business eligibility. For a combined-use plan, check the province’s current dossier and receiving authority. This tool does not issue a building or business permission.
